Terms and Conditions for the Outpace Conf. Event on 16th October 2025 (“Conference”)

In these Terms and Conditions, “you” and “your” refer to the speaker or speakers who have submitted a proposal to deliver a Presentation (as defined in clause 3.2) at the Conference, and “we”, “our”, and “us” refer to the organiser of the Conference, Softwire Technology Limited (together the “parties”).

Whereas we are organising a one-day technology conference for senior practitioners and leaders in the North West of England.

Whereas by submitting a proposal to deliver a Presentation at the Conference you accept and agree to abide by these Terms and Conditions.

Now, therefore, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Confirmation

  1. If you accept an invitation from us to deliver a Presentation at the Conference, you agree to sign a form by the date requested by us confirming your attendance at the Conference to deliver a Presentation and your agreement to adhere to these Terms and Conditions and our Code of Conduct. We reserve the right at any time to withdraw our invitation to you if, in our sole opinion, you have violated our Code of Conduct.
  2. You will notify us as soon as reasonably practicable if you become aware that you are unable to deliver your Presentation at the Conference.
  3. We reserve the right to cancel or change the timings of the Conference for any reason without incurring any liability to you. We will notify you as soon as reasonably practicable of any cancellation or changes to timings of the Conference.
  4. We will provide you with the necessary equipment and information to enable you to participate in the Conference.

2. Material and Images

  1. If you accept an invitation to deliver a Presentation at the Conference you will provide us with the following items by the date requested by us (together the “Material”):
    • A clear, up-to-date headshot photograph that fairly represents you.
    • A biography containing information about you.
    • A summary of the Presentation.
  2. You consent to us using the Material in promotional materials for the Conference without payment or receipt of any benefits or royalties unless otherwise agreed between us.
  3. You agree that we may take photographs of you at the Conference (“Photographs”). You consent to us using, reproducing, publishing or digitising your image in the Photographs whether altered or enhanced or in conjunction with any other images or text in any form (including on our website, in social media, on third party websites or blogs, print or digital media, in a publication, poster or presentation) for advertising, marketing, informational, promotional, or any other commercial purposes and that you have no right to inspect or approve the Photographs that may be used. You agree that you will not be paid or receive any benefits or royalties for appearing in the Photographs unless otherwise agreed between us.
  4. You understand you can withdraw your consent to future use of the Material and/or your image in the Photographs at any time. You understand this will not affect the lawfulness of any processing or use by us of the Material and/or your image before you withdraw your consent, and the Material and/or your image may still appear in printed or electronic material which has already been produced or disseminated whether before or after the Conference has taken place.

3. Intellectual Property

  1. We own and shall retain ownership in all intellectual property rights in the Photographs and any materials (including, without limitation, our trademarks and service marks) we provide to you in connection with the Conference (“Our IPR”).
  2. You own and retain ownership of all intellectual property rights in your presentation materials, including (without limitation) your slide deck or other visual materials used to support your presentation (“Presentation”) and the Materials. Nothing in these Terms and Conditions constitutes a transfer or assignment of Our IPR or your Materials or Presentation.
  3. We grant you a non-exclusive, revocable, non-sublicensable and non-transferrable right and licence to use Our IPR, solely for the purpose of delivering your Presentation at the Conference.
  4. You warrant that the Material and Presentation will not infringe the intellectual property rights of any third party. We warrant that Our IPR will not infringe the intellectual property rights of any third party.
  5. Each party (the “Indemnifying Party”) agrees to indemnify and hold the other party harmless in respect of any liability that the other party may suffer, incur or otherwise become liable for, arising from or in connection with a breach of the warranty given by the Indemnifying Party in clause 3.4.

4. Term

  1. These Terms and Conditions shall take effect on the date that you submit a proposal to deliver a Presentation at the Conference and apply until completion of the Conference unless terminated earlier by either party giving a minimum of one week’s prior written notice (including by email).

5. General

  1. Nothing in these Terms and Conditions gives rise, or is intended to give rise, to you being our employee, worker, partner, joint venture party or agent either now or in the future.
  2. These Terms and Conditions constitute the entire agreement and understanding between the parties in respect of the matters dealt with in them and supersede, cancel and nullify any previous agreement between the parties relating to such matters. Clauses 2 (Material and Images), 3 (Intellectual Property) and 6 (Governing Law and Jurisdiction) shall survive expiration or termination of these Terms and Conditions.
  3. You agree that you will not be paid or receive any benefits for attending and delivering a Presentation at the Conference unless otherwise agreed between us.

6. Governing Law and Jurisdiction

  1. These Terms and Conditions are governed by the laws of England and Wales. Each party submits to the exclusive jurisdiction of the courts of England and Wales.
